MAINTENANCE (“Dialogue” or the “Company”), canada leading virtual health and wellness health platform, announced today that it has entered into a definitive agreement to divest its Occupational Health and Safety (OHS) service Germany. The transaction is expected to close on or before December 31, 2022subject to the fulfillment of customary closing conditions.
Dialogue has entered the occupational safety market Germany with the acquisition of ARGUMED Consulting Group GmbH (“Argumed”) in January 2020 and the segment has grown steadily ever since. After a normal strategic review of its product roadmap, the company identified the OHS business as a non-core asset that does not fit into Dialogue’s integrated platform strategy and lacks the high scalability the company is aiming for for international market growth.
The sale of the company’s OHS business reinforces Dialogue’s focus on adding highly complementary services to its integrated healthcare platformTM to meet the health and wellness needs of employers and insurers, from prevention to treatment.
