About the lawsuit

LivePerson and certain of its officers are alleged to have failed to disclose material information during the Class Period in violation of federal securities laws.

On March 16, 2023, the Company filed its 2022 Annual Report on Form 10-K for the year ended December 31, 2022, pre-market, stating: “due to certain control weaknesses, which summed up to a material weakness in the Company’s internal controls versus financial reporting, as further described below, our disclosure controls and procedures were not effective as of December 31, 2022.”

As a result of this news, LivePerson shares fell $5.64 per share, or 57.73%, to close at $4.13 per share on March 16, 2023.
