ALBUQUERQUE, NM, March 15, 2023 (GLOBE NEWSWIRE) — Today Array Technologies ARRY (“Array” or “the Company”), a leading provider of tracking solutions, software and services for utility-scale solar energy projects, filed with the SEC an amendment to its previously filed notice of late filing on Form 12b-25, as it was determined it would not be able to file its annual report on Form 10-K for the year ended December 31, 2022 (the “Annual Report”) within the 15-day grace period ending March 16, 2023 because of additional time is needed to complete the annual report.

Due to the extension of the annual report filing deadline, the Company will now host its upcoming fourth quarter and full year conference call on March 21, 2023 after market close. The Company does not expect any material changes to its previously announced unaudited preliminary 2022 numbers, nor does the Company expect the timing of the filing of the annual report to impact the previously announced 2023 guidance ranges. In addition, the Company does not anticipate that the additional five days will affect any of the financial reporting agreements under the October 14, 2020 Credit Agreement governing the Company’s term loan facility and revolving credit facility, or under the October 3, 2021 agreement governing the Company’s term loan facility and revolving credit facility governing the Company’s 1.00% convertible debentures due 2028.
