IRVINE, CA, and HERSTAL, BELGIUM – March 6, 2023 – MDxHealth SA (NASDAQ/Euronext: MDXH) (“mdxhealth” or the “Pursue“), a commercial-stage precision diagnostics company, announced today that it has acquired 10,000,000 American Depositary Shares (“ADS“) (each representing 10 common shares of the Company with no par value) previously announced and closing on February 7, 2023 (the “Offer“), the underwriters exercised an option to purchase additional ADSs (each representing 10 common shares of the Company with no par value) on the same terms as the offering in the amount of 750,000 ADSs at a price of $4.00 per ad¹ for gross proceeds of $3.0 million² before deduction of commissions and estimated offering costs.

As a result of the exercise of the option the Company has granted to the underwriters for a period of 30 days following the Offering (the “Possibility“), the aggregate gross proceeds to the Company from the Offering are $43.0 million, before deduction of commissions and estimated offering expenses. Completion of the exercise of the option with respect to the 750,000 additional ADSs is expected to occur on March 8, 2023, subject to the satisfaction of customary closing conditions.The new shares underlying the offered ADS will carry the same rights and benefits as and rank pari passu par passu in all respects, including entitlement to dividends and distributions, with the existing and outstanding common shares of the Company and are entitled to distributions in respect of which the relevant record date or due date falls on or after the issue date of the new shares.
