TIGO GUATEMALA ANNOUNCES EARLY TENDER RESULTS, EARLY SETTLEMENT AND EXTENSION OF ENTIRE CONSIDERATION

Tigo Guatemala Announces Early Tender Results, Early Settlement and Tender Offer Amendments to Purchase Up to $90,000,000 in aggregate principal amount of outstanding 5.125% Senior Notes due 2032.

GUATEMALA, November 20, 2022 – Comunicaciones Celulares, SA (“Comcel”) announced today (i) the advanced acquisition results of its previously announced cash purchase offer (the “Offer”) up to an aggregate nominal amount of US$90,000,000 (the “Cap Amount”) ) of the outstanding 5.125% Senior Notes due 2032 (the “Notes”) issued by Walkers Fiduciary Limited as trustee of CT Trust and guaranteed on a senior unsecured basis by Comcel and certain other guarantors, (ii) the Early Settlement Date ( as defined below) and (iii) Amendments to the Takeover Offer. The tender offer is being made pursuant to the terms and conditions of a tender offer dated November 4, 2022 (as amended hereby and as amended or supplemented from time to time, the “Tender Offer”) and is subject to certain conditions described therein. Capitalized terms used in this press release but not otherwise defined have the same meaning as ascribed to them in the Tender Offer.

Comcel has been notified by DF King & Co., Inc., as Information Agent and Tender Agent, that as of 5:00 p.m. New York City time on November 18, 2022 (the “Early Tender Time”), it has received $18,830,000 in aggregate principal amount of the Notes was validly offered and not validly withdrawn. Pursuant to the Tender Offer and subject to the terms of the Tender Offer set forth therein, Comcel intends to accept for purchase all Notes validly tendered (and not validly withdrawn) at or before the Early Tender Time and has the right to an early settlement date expected to be on November 21, 2022 (the “Early Settlement Date”).
