BEDFORD, Mass., February 10, 2023 (GLOBE NEWSWIRE) — Berkshire Gray Inc. BGRY, (“Berkshire Grey” or the “Company”), a leading provider of AI-enabled robotic solutions for automating supply chain processes, today confirmed that it has received a non-binding expression of interest from SoftBank Group Corp. (“SoftBank”). to purchase all of the Company’s outstanding common stock for $1.30 per share in cash. The terms of a potential agreement between Berkshire Gray and SoftBank would be subject to certain conditions, including completion of due diligence and negotiation of final transaction documents.

Berkshire Gray also notes that it is currently evaluating various alternative options, including potential financing transactions. Berkshire Gray’s Board of Directors will carefully review SoftBank’s expression of interest as it continues to review various alternatives and in consultation with its financial and legal advisers.

There can be no assurance that a definitive transaction relating to SoftBank’s expression of interest or any other potential transaction will eventually be consummated. Unless the Board of Directors has approved a particular transaction or otherwise determined that further disclosure is appropriate or necessary, Berkshire Gray does not intend to make any further announcements regarding the various alternatives being considered.
