(OTC market: SRNEQ) (“Sorrento”), announced today that the Company’s scheduled 2023 annual general meeting (the “Annual Meeting”) is scheduled to be held at 9:00 a.m. 12:00 a.m. Pacific Time on Monday, April 17, 2023 has been moved to 9:00 a.m. Pacific Time on Thursday, May 4, 2023.

Scilex is adjourning its Annual Meeting due to the previously announced material under-registration of more than 44 million of its common shares by brokers, banks and other nominees (collectively, “Broker Firms”) to Broadridge Financial Solutions, Inc., an independent third party providing shareholder voting for the upcoming Annual Meeting collects and tabulates, and to allow several brokerage firms additional time to complete reporting pursuant to previously announced orders of the U.S. Bankruptcy Court for the Southern District of Texas related to Sorrento’s Chapter 11 case of mandatory specified brokerage firms, non-privileged written responses to create in Sorrento. The information compelled by the court orders relates to the records and beneficial ownership of Scilex common stock received by Sorrento shareholders in connection with Sorrento’s previously announced dividend of 76,000,000 Scilex common stocks held by Sorrento. The orders were executed in connection with the Sorrento Chapter 11 case filed on February 13, 2023. Scilex expects that if the brokerage firms comply with the court’s orders, a significant number of the undeclared shares will be able to attend the annual meeting.
